Following are the steps for changing the registered office of an LLP or company:
Change of registered office address within city, town, or village limits
- As a result of a board resolution
- Once the Board resolution has been passed, file Form INC-22 within 30 days
A company’s registered office is moved outside its local limits, but within the same region and state
- With a special resolution and a board resolution
- The Special Resolution must be filed within 30 days after it is passed using Form MGT-14
- Upon receipt of the Special Resolution, fill out the INC- 22 form within 30 days

- A board resolution, a special resolution, and the Regional Director’s approval
- The Special Resolution must be filed with Form MGT-14 within 30 days
- Using the INC-23 form
- In 60 days from the date of the regional director’s order, submit Form INC-28
- Form INC-22 must be filed within 30 days after the Regional Director’s order
Change of address from one state to another, outside the jurisdiction of the RoC
- The Regional Director must approve a board resolution, a special resolution, and a board resolution
- After modifying the Memorandum of Association (MoA)
- The Special Resolution must be filed with Form MGT-14 within 30 days
